Terms of Service

These Terms of Service (the “Terms”) are a legal agreement between you and SCENEARKIVE, based in Ontario, Canada (“SceneArkive,” “we,” “us,” or “our”). They govern your access to and use of the SceneArkive website and web application, the SceneArkive Bridge desktop application, and all related software, features, and services (together, the “Service”).
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Agreement & Acceptance
You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet this requirement.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before they take effect. Changes do not apply retroactively to any dispute that arose before the change took effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription.
2. The Service
SceneArkive is a continuity system for audio post-production. It lets you capture audio and session information from Pro Tools, organize it as a living archive across episodes and projects, and recall it back into your Pro Tools session. SceneArkive is a continuity layer that works alongside Pro Tools—it is not a replacement for your own session files or master recordings.
The Service includes a web application and the SceneArkive Bridge, a desktop application for macOS that connects to Pro Tools on your computer (see Section 7).
The Service and all software are licensed to you, not sold. We may add, change, or remove features at any time. We may also set reasonable technical limits, such as file size, storage, and processing limits.
3. Accounts
You must provide accurate information when you register and keep it up to date. You are responsible for all activity that occurs under your account, whether or not you authorized it. Keep your login credentials secure. We support optional multi-factor authentication, and we recommend you enable it.
Each account is for a single user. You may not share, sell, transfer, or sublicense your account or your access to the Service. If you believe your account has been compromised, contact us promptly at hello@scenearkive.com.
4. Subscriptions, Trial & Billing
Free trial. New accounts receive a 30-day free trial with full access to the Service. The trial begins when you first sign in. No credit card is required to start or use the trial.
Subscription.After the trial, continued full access requires a paid subscription of US$29 per month per user. When you subscribe, your payment method is charged immediately—there is no separate paid trial period. Your subscription renews automatically each month until you cancel. Payments are processed by Stripe; by subscribing, you authorize us and Stripe to store your payment method and charge it for amounts owed.
Read-only freeze. If your trial ends without a subscription, or if you cancel, or if a payment fails and is not resolved, your account becomes read-only. While read-only, you can still view your existing archive and recall existing audio back into Pro Tools, but you cannot capture new work or add new content. You can restore full access at any time by subscribing.
Cancellation. You may cancel at any time. Cancellation stops future billing and takes effect at the end of your current billing period; you keep paid access until then.
No refunds. Payments are non-refundable, and we do not provide refunds or credits for partial periods, except where required by law. Because every account gets a full 30-day free trial before any charge, you can evaluate the Service at no cost. We may, at our sole discretion, offer a refund as a goodwill gesture in individual cases.
Taxes and price changes. Prices are in U.S. dollars and do not include taxes. You are responsible for any applicable taxes, which may be calculated and added at checkout. We may change our prices; we will give you advance notice of any price change before it applies to your subscription.
5. Your Content & Rights
“Content” means any audio, files, text, session data, notes, or other material you upload to, capture into, or create using the Service.
You own your Content. We do not claim ownership of it. As between you and us, you retain all rights to your Content.
To operate the Service on your behalf, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy (including across servers to protect against data loss), transcode and convert (for example, between audio formats), generate previews of, and transmit your Content—and to place your audio back into your Pro Tools session at your direction. This license exists only to run the Service for you and ends when your Content is deleted, subject to routine backups.
We do not train AI models on your Content.We do not use your Content, or your clients’ Content, to train generative or machine-learning models, and we do not allow others to do so.
Confidentiality. We understand that your Content often includes confidential, pre-release material belonging to you or your clients. We treat your Content as confidential. We do not access, use, or disclose it except as necessary to operate and support the Service, to address security or abuse, or as required by law. Our personnel access your Content only in limited circumstances, such as when you ask us to (for example, a support request) or to investigate a suspected violation of these Terms or applicable law.
6. Your Warranties & Indemnification
You represent and warrant that you have all rights, licenses, consents, and permissions necessary to upload and process your Content through the Service— including any authorization required to handle material owned by your clients or third parties—and that doing so does not violate any law or any third party’s rights.
You agree to indemnify and hold harmless SceneArkive and its operator from and against any claims, demands, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to: (a) your Content; (b) your use of the Service; or (c) your violation of these Terms or applicable law. We may assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us.
7. The SceneArkive Bridge (Local Software)
The SceneArkive Bridge is desktop software you install on your own computer. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Bridge to access the Service.
The Bridge runs locally and interacts with your Pro Tools session and your computer’s file system only at your direction—for example, to read your session, capture audio, or place recalled audio into your session’s audio files folder. You must maintain a valid, separately licensed copy of Pro Tools; we do not provide Pro Tools.
The Bridge is provided “as is.” It may currently be distributed without Apple code-signing or notarization, which means macOS may require you to manually approve it on first launch. Because the Bridge interacts with your live working sessions, you are responsible for maintaining your own backups of your Pro Tools sessions and source files. You use the Bridge at your own risk, subject to the disclaimers and limitation of liability in Sections 11 and 12.
We never delete your files.The Bridge does not delete files in your Pro Tools session, your session’s audio files folder, or any other location you choose. It only manages its own application data and caches.
8. Data Storage, Retention & Deletion
Your Content is stored using trusted third-party cloud infrastructure providers. We use commercially reasonable measures to safeguard it, but no method of storage or transmission is completely secure.
Trash. When you delete an entry, it moves to Trash and can be restored for 30 days. After 30 days, it is permanently deleted.
Lapsed accounts. If your subscription lapses (through cancellation, non-payment, or trial expiry), your account becomes read-only and your archive metadata is preserved. Your stored audio files are scheduled for permanent deletion 60 days after the lapse. We will send reminder emails before this happens, including at the time of lapse and again as the deletion date approaches. Resubscribing before the deletion date prevents the deletion of your audio.
Storage limits. Accounts are subject to a storage cap. If you exceed it, we may prevent new uploads until you are back within your limit.
Your responsibility. SceneArkive is a continuity layer, not your system of record. You are responsible for retaining your own master and source files. Your original Pro Tools sessions and audio always remain on your own systems. We are not liable for any loss of Content, and you should keep independent backups of anything important. Copies of deleted Content may persist briefly in routine backups before being overwritten.
9. Acceptable Use
You agree not to:
- upload or share Content you do not have the rights to, or that is unlawful, infringing, or abusive;
- use the Service for any illegal purpose or in violation of any applicable law;
- copy, modify, resell, sublicense, rent, or share the Service or your account;
- reverse engineer, decompile, or attempt to extract the source code of the Service, except where the law expressly permits it;
- circumvent or attempt to circumvent any usage limits, access controls, or security measures;
- access the Service by any means other than the interfaces we provide;
- scrape, data-mine, or harvest data from the Service;
- upload viruses or malicious code, or otherwise interfere with or disrupt the Service or other users;
- impersonate any person or misrepresent your affiliation with anyone.
10. Service Availability & Changes
The Service is provided on an “as available” basis. We may modify, suspend, or discontinue any part of the Service at any time. We do not guarantee that the Service will be uninterrupted, available at any particular time, or error-free, though we use commercially reasonable efforts to keep it running.
11. Disclaimers of Warranties
To the maximum extent permitted by applicable law, the Service and all software are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, that results obtained will be accurate or reliable, or that any errors will be corrected. You use the Service at your own risk.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that you may have under applicable law and that cannot lawfully be excluded or limited. Where such rights apply, our liability is limited to the extent permitted by that law.
12. Limitation of Liability
To the maximum extent permitted by applicable law, SceneArkive and its operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities (including lost work, missed deadlines, or lost projects), arising out of or related to your use of, or inability to use, the Service—regardless of the legal theory and even if we have been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the total fees you paid us for the Service in the 12 months immediately before the event giving rise to the claim, or (b) one hundred Canadian dollars (CA$100).
These limitations do not apply to any liability that cannot be excluded or limited under applicable law.
13. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay, use the Service unlawfully or abusively, or to protect the Service or other users. Where practicable, we will give you notice.
On termination, your Content is handled as described in Section 8 (Data Storage, Retention & Deletion). The provisions that by their nature should survive termination will survive—including your ownership of Content, Sections 6 (Warranties & Indemnification), 9 (Acceptable Use), 11 (Disclaimers), 12 (Limitation of Liability), 14 (Governing Law & Disputes), and 15 (General).
14. Governing Law & Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree that the courts located in Ontario, Canada have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and you submit to the personal jurisdiction of those courts. Any additional rights you have under the laws of your own place of residence are not affected where they cannot lawfully be limited.
15. General
These Terms are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any right or provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them, for example in connection with a sale or transfer of the business.
